IMPORTANT TERMS & CONDITIONS – SUMMARY (INVOICE NOTICE)

Acceptance of Terms By making any payment toward any invoice, the Purchaser confirms that they have read, understood, and agreed to the Seller’s full Terms and Conditions, available at www.bedmanufacturing.com, and that such payment constitutes acceptance thereof.

ACCEPTANCE OF SALE, TERMS AND CONDITIONS, AND AUTHORITY TO COMMENCE PERFORMANCE

The Purchaser acknowledges and agrees that the signature of any quotation, invoice, sales order, acceptance form, electronic acceptance, written confirmation, digital acceptance, or the payment of any amount whatsoever (including, without limitation, any deposit, part payment, instalment or the full purchase price) in respect of the equipment shall constitute the Purchaser's unequivocal acceptance of the sale transaction and of the Supplier's complete Terms and Conditions of Sale.

Such signature, acceptance or payment shall constitute confirmation that the Purchaser has:

  • carefully read and understood the quotation, invoice and the Supplier's Terms and Conditions of Sale available at www.bedmanufacturing.com;

  • had a reasonable opportunity to request clarification, obtain independent advice and ask any questions prior to entering into the transaction;

  • accepted the equipment specifications, pricing, scope of supply, exclusions and applicable commercial terms;

  • authorised the Supplier to commence procurement, manufacturing, assembly, customisation, configuration, alterations, upgrades, engineering, production scheduling and all work necessary to fulfil the order;

  • acknowledged that the Supplier will incur costs, allocate production capacity, commit resources and enter into contractual commitments with suppliers in reliance upon such acceptance; and

  • agreed to be legally bound by the entire agreement, subject always to any mandatory provisions of applicable law.

The Purchaser further acknowledges that any payment, whether described as a deposit, reservation fee, progress payment, balance payment or otherwise, is made as confirmation of the Purchaser's intention to proceed with the purchase and authorises the Supplier to commence performance in accordance with the agreement.

The Purchaser acknowledges that the equipment constitutes special-order and/or customised goods manufactured or prepared specifically for the Purchaser's requirements. Accordingly, once the Supplier has commenced procurement, manufacturing, assembly, customisation, modification, upgrades, engineering, configuration, or any other work relating to the order, the Purchaser's rights to cancel or claim a refund shall be governed exclusively by the written agreement and the mandatory provisions of the Consumer Protection Act 68 of 2008, where applicable.

No verbal statement, representation, promise, or undertaking made by any representative shall amend or vary this agreement unless reduced to writing and signed by both parties.

 

Deposits, Special-Order Goods, Customisation, Alterations, and Upgrades

All deposits paid by the Purchaser are non-refundable.

The equipment supplied constitutes special-order and/or custom-manufactured goods as contemplated under the Consumer Protection Act 68 of 2008, manufactured, assembled, configured, and/or prepared specifically to the Purchaser's requirements, specifications, options, or order.

For purposes of this clause, special-order work includes, without limitation:

  • manufacturing, assembly, or production of the equipment;

  • procurement or ordering of components, parts, materials, or accessories;

  • engineering, design, or configuration work;

  • software installation, programming, configuration, or licensing;

  • electrical, pneumatic, or mechanical modifications;

  • customisation requested by the Purchaser;

  • alterations, upgrades, enhancements, or improvements to existing equipment;

  • preparation, testing, calibration, or commissioning of the equipment;

  • any labour, services, planning, or work performed specifically for the Purchaser's order.

Once any of the above activities have commenced, the Purchaser acknowledges that the Supplier may have incurred irreversible costs, allocated production capacity, committed resources, procured non-returnable materials, modified existing equipment, and undertaken work that cannot reasonably be reversed or resold without financial loss.

Accordingly, the Purchaser shall have no right to cancel the order or demand a refund of any deposit or monies paid once such work has commenced, except where mandatory provisions of applicable law expressly provide otherwise.

Any alterations, upgrades, modifications, customisation, engineering changes, software configuration, component installation, or additional work requested by the Purchaser after acceptance of the order shall likewise constitute special-order work and shall be subject to this clause. All amounts paid in respect of such work shall be non-refundable once the Supplier has commenced performance.

Where an alteration, upgrade, or modification is requested after manufacture has commenced, the Supplier reserves the right to revise the purchase price, delivery period, and specifications to reflect the additional work, materials, and costs involved.

The Purchaser acknowledges that equipment which has been manufactured, customised, altered, upgraded, or configured specifically for the Purchaser may not be suitable for resale to another customer and expressly accepts the commercial risks associated with placing such an order.

 

Manufacturing & Payment

Production commences upon receipt of a deposit. No machinery or equipment will be released until full payment has been received and cleared into the Seller’s bank account.

 

Delivery, Packaging & Additional Costs

Prices exclude packaging, insurance, permits, transport, courier, or delivery costs, which remain for the Purchaser’s account unless otherwise agreed in writing.

 

Equipment-Only Sale

This transaction is strictly for the sale of manufacturing equipment only, regardless of any advertising descriptions or terminology used, and does not constitute a business opportunity, franchise, or guarantee of income, customers, contracts, or sales performance.

 

No Guarantees or Projections.

Any production estimates, performance illustrations, or financial examples provided are indicative only, depend on operator skill and operating conditions, and are not guaranteed.

 

Training & Staffing

The Seller does not provide physical training, staff, or operational personnel. The Purchaser is solely responsible for staffing, training, and factory operations. Where requested, contact details of an independent third-party contractor offering optional training services (from approximately R2,500) may be provided as a courtesy only. Any such training arrangement is strictly between the Purchaser and the contractor, and the Seller bears no responsibility or liability for such services.

 

Manufacturing Timelines & Force Majeure

Manufacturing and delivery timelines are estimates and may be affected by supplier availability, logistics delays, or events beyond the Seller’s control (including force majeure events). No cancellation or refund shall arise from extended manufacturing timelines.

 

Images & Specifications

Equipment supplied may vary from images used in advertising or promotional material, provided that the supplied equipment meets the agreed written specifications.

Collection, Storage & Defraying of Costs

Upon completion, the Purchaser must collect the equipment within the agreed timeframe. Storage, handling, transport, and related costs may be charged if collection is delayed. Goods not collected or paid for may be sold to defray costs in accordance with the Seller’s Terms and Conditions.

 

Written Terms Only

No verbal agreements shall be binding. Only written terms signed by both parties shall form part of this transaction.

 

Acknowledgment by signing or paying any part of the seller's invoice, the Purchaser confirms that they understand that:

No income, customers, or contracts are guaranteed

 

The Purchaser is responsible for their own marketing and sales
